When I boot up I get this message WDC WD3200AAJS-65VWAD 12.01B02 Hard disk failure is imminent backup and replace.

I have another hard disk of the same value I sm Running Vista Ultimate can I just Restore my computer from a Windows Complete PC backup and Restore Image, to this drive.

clone drive to a larger drive before it dies completely. if the two drives are on the same hardware and the same OS you have a chance to restore this system. Other wise you can restore all your documents, email, and Internet configuration to the Vista system

Bakup right away!!! Don't waste any time!!!!!!! You are lucky to get this error before the drive goes dead.
